Terms of Service

These Terms of Service ("Terms") govern your access to and use of FolderPal, a Google Drive productivity tool operated by Jacky Lee, registered under ABN [ABN], trading as Drolatic Labs ("FolderPal", "we", "us", or "our").

By accessing or using FolderPal, you agree to these Terms. If you are using FolderPal on behalf of a company, organisation, client, or other entity, you confirm that you have authority to accept these Terms on their behalf.

1. What FolderPal does

FolderPal helps users create repeatable Google Drive folder and file structures from reusable templates.

FolderPal can help you design templates, import folder and file structures, use placeholder values, generate folders and files in Google Drive, copy files, create native Google files, and track generation history.

FolderPal does not own your Google Drive content and does not replace your responsibility to review what is created, copied, named, or stored in your Google Drive account.

2. Eligibility

FolderPal is not intended for children under 16.

By using FolderPal, you confirm that you are at least 16 years old and that you have the legal capacity and authority to agree to these Terms.

If you use FolderPal on behalf of a business, organisation, client, or other entity, you confirm that you are authorised to bind that entity to these Terms.

3. Your account

You may need to sign in with Google or another supported authentication method to use FolderPal.

You are responsible for:

  • keeping your account secure;
  • ensuring your account information is accurate;
  • all activity that occurs under your account or workspace;
  • ensuring that anyone using FolderPal through your account or workspace complies with these Terms.

You must notify us promptly if you believe your account has been accessed without authorisation.

4. Workspaces and authority

FolderPal may allow you to create or use a workspace.

If you use FolderPal for a business, client, team, or organisation, you confirm that you have permission to use FolderPal for that purpose and to connect any relevant Google Drive account, folder, file, Shared Drive, or workspace.

If you connect a Google account or Shared Drive that belongs to an organisation, you are responsible for ensuring that your use of FolderPal complies with that organisation's policies, permissions, and Google Workspace settings.

5. Google Drive connection

FolderPal connects to Google Drive only with your authorisation.

By connecting Google Drive, you allow FolderPal to perform actions needed to provide the service, including listing folders and files, reading folder and file metadata, importing structures, creating folders, creating files, copying files, and placing generated items in destinations you select.

FolderPal acts on instructions you provide through the product. You are responsible for reviewing:

  • the Google account you connect;
  • the folders, files, and Shared Drives you select;
  • the templates you create or import;
  • the placeholder values you enter;
  • the Drive destination you choose;
  • the folders and files generated by FolderPal;
  • the permissions and sharing settings that apply in Google Drive.

Disconnecting Google Drive may limit or prevent your ability to use some FolderPal features.

6. Templates, generated folders, and user responsibility

FolderPal is designed to automate repeatable folder and file creation, but you are responsible for the templates, settings, placeholder values, destinations, and generated output you create.

You acknowledge that generation jobs may occasionally fail, partially complete, retry, duplicate an attempted action, encounter permission issues, or be affected by Google Drive API limits, account permissions, Shared Drive rules, network issues, rate limits, or third-party service outages.

You are responsible for checking generated folders and files before relying on them.

FolderPal is not responsible for losses caused by incorrect templates, incorrect placeholder values, incorrect destination folders, user error, Google Drive permission settings, or failure to review generated output, except to the extent liability cannot be excluded under applicable law.

7. Your content

As between you and FolderPal, you retain ownership of your Google Drive content, folder names, file names, templates, placeholder values, generation settings, and other information you provide or generate using FolderPal ("Your Content").

You grant FolderPal a limited licence to access, process, store, transmit, and display Your Content only as needed to:

  • provide and operate FolderPal;
  • connect to Google Drive with your permission;
  • create, copy, organise, and track folders and files when you request it;
  • save and manage templates;
  • provide support;
  • maintain security and reliability;
  • comply with legal obligations.

You are responsible for ensuring you have the rights and permissions needed to use Your Content with FolderPal.

8. FolderPal intellectual property

FolderPal, including its software, interface, workflows, branding, design, documentation, and related technology, is owned by us or our licensors.

These Terms do not give you ownership of FolderPal or any FolderPal intellectual property.

You may not copy, modify, reverse engineer, resell, sublicense, or exploit FolderPal except as allowed by these Terms or applicable law.

9. Acceptable use

You must not use FolderPal to:

  • break the law or violate anyone's rights;
  • access, use, copy, or process folders, files, Shared Drives, or data without permission;
  • upload, create, copy, or distribute malware, harmful code, or unlawful content;
  • infringe intellectual property, privacy, confidentiality, or contractual rights;
  • abuse, overload, interfere with, or disrupt FolderPal, Google Drive, or any related systems;
  • bypass usage limits, rate limits, security controls, or access controls;
  • attempt to reverse engineer or compromise FolderPal;
  • misrepresent your identity or authority;
  • use FolderPal to send spam or conduct abusive activity;
  • use FolderPal in a way that could harm FolderPal, other users, Google, third-party services, or the public.

We may suspend or restrict access if we reasonably believe you have violated these Terms or created a legal, security, operational, abuse-related, or service-integrity risk.

10. Plans, limits, and billing

FolderPal may offer free and paid plans.

Paid plans may include limits such as template limits, generation limits, placeholder limits, workspace limits, file or folder limits, feature limits, support limits, or usage limits.

Billing is processed by Stripe or another payment provider. By subscribing to a paid plan, you authorise us and our payment provider to charge applicable fees, taxes, and recurring subscription amounts using your selected payment method.

All fees are billed in USD. Unless stated otherwise at checkout:

  • subscription fees are billed in advance;
  • subscriptions renew automatically at the end of each billing period;
  • you can cancel your subscription through the product or by contacting us;
  • cancellation takes effect at the end of the current billing period;
  • you will continue to have access to paid features until the end of the period you have paid for.

Prices may include or exclude GST, VAT, sales tax, or other taxes as shown at checkout. You are responsible for applicable taxes unless they are collected by us or our payment provider.

We may change plan features, limits, or prices from time to time. Price changes for existing paid subscriptions will take effect at the start of your next renewal period, unless you agree otherwise. We will take reasonable steps to notify you before a price change applies, and you may cancel before the new price takes effect.

11. Refunds

Unless required by law or stated otherwise, fees are generally non-refundable once a billing period has started.

However, we may consider refund requests on a case-by-case basis, especially where there has been a billing error, duplicate charge, technical issue, or other reasonable concern.

If we terminate your paid subscription without cause, discontinue FolderPal, or make a material change to these Terms that substantially reduces your rights or access to the service and you do not accept that change, we will provide a pro-rata refund of prepaid unused subscription fees, unless the termination, discontinuation, or change results from your breach of these Terms, misuse of FolderPal, non-payment, unlawful conduct, or another issue caused by your conduct.

Nothing in these Terms limits any refund or remedy rights you may have under the Australian Consumer Law or other laws that cannot be excluded.

12. Trials and free plans

FolderPal may offer free plans, trials, beta features, or promotional access.

We may change, limit, suspend, or end free plans, trials, beta features, or promotional access at any time.

If a trial converts to a paid subscription, we will disclose the relevant billing terms before charging you.

13. Third-party services

FolderPal depends on third-party services, including Google Drive, Google OAuth, Google Workspace, Stripe, Supabase, PostHog, Google Analytics, Microsoft Clarity, Resend, hosting providers, analytics providers, email providers, and other infrastructure or support services.

Your use of third-party services may be subject to their own terms, policies, permissions, limits, and availability.

FolderPal is not responsible for third-party services, including:

  • Google Drive outages or API issues;
  • Google account or Workspace restrictions;
  • Shared Drive permissions;
  • Google API rate limits;
  • Stripe payment processing issues;
  • third-party analytics or infrastructure outages;
  • changes made by third-party providers.

If a third-party service changes, becomes unavailable, or restricts FolderPal's access, some FolderPal features may stop working or become limited.

14. Privacy

Our collection and use of personal information is described in our Privacy Policy.

By using FolderPal, you acknowledge that we will collect and process information as described in the Privacy Policy, including information needed to connect to Google Drive and provide the service.

15. Service availability and changes

We aim to provide a reliable service, but FolderPal may be unavailable, delayed, interrupted, changed, or discontinued from time to time.

We may perform maintenance, release updates, modify features, change limits, or remove features where needed to improve the product, maintain security, comply with law, manage costs, or protect service reliability.

We do not guarantee that FolderPal will be uninterrupted, error-free, secure, or available at all times.

If we discontinue a paid service before the end of your paid subscription period, we will provide a pro-rata refund of prepaid unused subscription fees, unless the discontinuation is due to your breach, misuse, non-payment, unlawful conduct, or another issue caused by your conduct.

16. Support

We may provide support through email, in-product channels, documentation, or other methods we make available.

Unless we agree otherwise in writing, we do not guarantee any specific response time, resolution time, uptime, or service level commitment.

17. Suspension and termination

You may stop using FolderPal at any time.

We may suspend, restrict, or terminate your access to FolderPal if:

  • you breach these Terms;
  • your payment fails;
  • your use creates a legal, security, operational, abuse-related, or service-integrity risk;
  • you misuse FolderPal or third-party services;
  • we are required to do so by law;
  • we discontinue the service.

Where reasonable, we will try to give notice before suspending or terminating access, but we may act immediately where needed to protect FolderPal, users, third-party services, or the public.

If we terminate your paid subscription without cause before the end of your paid subscription period, we will provide a pro-rata refund of prepaid unused subscription fees.

After termination, your right to use FolderPal ends. Some sections of these Terms will continue to apply, including sections about ownership, payment obligations, disclaimers, liability, indemnity, governing law, and any other terms that by their nature should survive.

18. Deleting your workspace

You may delete your FolderPal workspace through Workspace Settings where that option is available, or request deletion by contacting [email protected].

We aim to process workspace deletion requests within 30 days, subject to any information we need to retain for legal, billing, security, fraud prevention, backup, or legitimate business reasons.

Deleting your FolderPal workspace does not automatically delete folders or files that have already been created or copied in your Google Drive. You are responsible for managing or deleting those items directly in Google Drive.

You can disconnect FolderPal from Google Drive through the product or revoke access from your Google Account permissions page.

19. Disclaimers

FolderPal is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, we disclaim warranties, guarantees, or representations that FolderPal will:

  • meet all of your requirements;
  • be uninterrupted, error-free, or always available;
  • generate folders or files perfectly every time;
  • preserve or apply Google Drive permissions in a particular way;
  • be compatible with every Google Drive, Google Workspace, or Shared Drive configuration;
  • prevent all data loss, duplication, misfiling, or user error.

You are responsible for maintaining appropriate backups, reviewing generated output, and managing your Google Drive permissions and content.

20. Australian Consumer Law and non-excludable rights

Nothing in these Terms excludes, restricts, or modifies any rights, guarantees, remedies, or protections that you may have under the Australian Consumer Law or any other law that cannot be excluded, restricted, or modified.

Where we are permitted to limit remedies under applicable law, our liability is limited, at our choice, to supplying the services again or paying the cost of having the services supplied again.

21. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunity, or business interruption.

To the maximum extent permitted by law, our total liability for all claims relating to FolderPal or these Terms is limited to the greater of:

  • the amount you paid to FolderPal in the 3 months before the event giving rise to the claim; or
  • USD $100.

This limitation does not apply to liability that cannot be excluded or limited under applicable law.

22. Indemnity

You agree to indemnify us and our contractors and service providers from and against claims, losses, liabilities, damages, costs, and expenses to the extent caused by:

  • your breach of these Terms;
  • your misuse of FolderPal;
  • Your Content;
  • your use of Google Drive, Shared Drives, or third-party services through FolderPal;
  • your violation of law or third-party rights;
  • your lack of authority to connect or use a Google account, folder, file, Shared Drive, or workspace.

23. Changes to these Terms

We may update these Terms from time to time.

If we make material changes, we will take reasonable steps to notify users, such as by posting a notice in the product or sending an email.

The updated Terms will apply from the effective date stated in the updated version.

If you do not accept a material change, you may stop using FolderPal and cancel your subscription before the updated Terms take effect. If you have a paid subscription and the material change substantially reduces your rights or access to the service, you may request a pro-rata refund of prepaid unused subscription fees.

If you continue using FolderPal after the updated Terms take effect, you accept the updated Terms.

24. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.

We may assign, transfer, or delegate our rights or obligations under these Terms as part of a merger, acquisition, business sale, asset sale, corporate restructure, change of control, or transfer of the FolderPal business, provided this does not materially reduce your rights under these Terms.

25. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, that part will be interpreted or limited to the minimum extent necessary so that it becomes valid and enforceable.

If that is not possible, the invalid, unlawful, or unenforceable part will be severed, and the remaining parts of these Terms will continue in effect.

26. No waiver

If we do not enforce a provision of these Terms, this does not mean we waive our right to enforce that provision or any other provision later.

Any waiver must be in writing to be effective.

27. Entire agreement

These Terms, together with our Privacy Policy and any plan, checkout, or subscription terms shown to you when you sign up or purchase a plan, form the entire agreement between you and us regarding FolderPal.

They replace any prior or separate understandings about FolderPal, unless we have expressly agreed otherwise in writing.

28. Governing law and disputes

These Terms are governed by the laws of Victoria, Australia, unless applicable law requires otherwise.

Before starting formal legal proceedings, you agree to contact us at [email protected] and try to resolve the dispute informally.

If we cannot resolve the dispute informally, the courts of Victoria, Australia will have jurisdiction, subject to any rights you may have under applicable consumer protection laws.
